IFTF VANTAGE
TERMS & CONDITIONS

These terms and conditions (“Terms”) apply to the IFTF Vantage partnership program (“Vantage”) provided by Institute for the Future (“IFTF”) to IFTF Vantage partners (“Partner”). Please read these Terms carefully. Though Partner access and use of Vantage is governed by the Terms effective at the time, please note that IFTF may revise and update these Terms from time to time at its discretion. If IFTF makes material changes to these Terms, IFTF will notify Partners by email or by posting a notice on our website prior to the effective date of the changes. These Terms are to ensure that Partners will use Vantage only in the ways in which IFTF intends for it to be used.
Acceptance.
Partner’s acceptance of the Terms contained below shall be conclusively presumed from Partner’s acceptance of all or any part of the IFTF Vantage partnership or from payment by Partner for all or any part of the IFTF Vantage partnership deliverables. IFTF shall not be bound by any subsequent terms, conditions, or other obligations included in any Partner purchase order, vendor portal, receipt, acceptance, confirmation, or other correspondence from Partner unless expressly assented to in writing by IFTF and counter-signed by its authorized agent. None of these terms and conditions may be added to, modified, superseded or otherwise altered except by a written instrument signed by an authorized executive between both Partner and IFTF.
Deliverables.
IFTF shall deliver the following deliverables (“Deliverables”):
- Foundational Foresight Research—Stay in the know and in the flow with IFTF research hypotheses, sneak previews, and foresight field insights from our network of experts, partners, and practitioners. This includes forecasts focused on the intersection of technology, society, and organizations, designed to support Partner’s strategic horizon scanning.
- Quarterly Futures Research Meetups—One-hour, live-online quarterly sessions hosted and facilitated by IFTF researchers and showcasing IFTF’s most up-to-date research insights, hypotheses, and intelligence.
- Quarterly Signals Sensemaking Memos—Expert IFTF analysis of signals of change from IFTF’s Future Factors global signals platform, to help Partner see the future in the present and find the signals amongst the noise.
- Annual Ten-Year Forecast Summit—Participation of up to two (2) Partner employees at IFTF’s annual event, plus discounted additional seats.
- Foresight Coaching—Up to six (6) hours of foresight coaching from an IFTF researcher/foresight practitioner to help guide Partner on its journey toward future readiness.
- Foresight Essentials Training—One (1) training seat to cultivate a futures mindset on Partner’s team, plus discounted pricing for additional seats. Choose from IFTF’s professional foresight trainings, offered both live-online and in-person:
- Foresight Essentials—For novice and intermediate practitioners. Comprehensive tools and methods for a complete foresight professional practice. 22+ hours over 6 sessions live-online, or 3 in-person days.
- Foresight Essentials for Philanthropy—For novice and intermediate practitioners in philanthropic and philanthropy-serving organizations. Comprehensive tools and methods for a complete foresight professional practice. 22+ hours over 6 sessions live-online, or 3 in-person days.
- Three Horizons of AI—For all levels of practitioners. Learn techniques for interpreting the extraordinary pace of change in AI today, while developing practical, long-term perspectives for you and your organization or community. 6 hours over 3 sessions, live-online only.
- IFTF Future Factors Platform—Access for up to one hundred (100) employees at Partner’s organization to IFTF’s exclusive collaborative data-gathering platform that provides a rich trove of real-time signals-scanning to help Partner track and document rapid changes in multiple domains.
- IFTF Vantage Point Resource Hub—Access for up to one hundred (100) employees at Partner’s organization to IFTF’s exclusive partner hub offering foresight research and forecasting resources on how to build strategic foresight as an organizational capability.
Payment.
Payment by Partner shall be made upon IFTF’s submission of an invoice to Partner within thirty (30) calendar days. IFTF will submit an invoice via email. If Partner prefers the invoice to be submitted through another individual, department, online portal, or other methods, Partner is responsible for informing IFTF in writing of special invoicing instructions to avoid payment delays and subsequent fees. If applicable, Partner may include invoicing instructions at the end of this Agreement. Any IFTF invoice not paid within thirty (30) calendar days of such billing is subject to a 10% monthly interest charge. IFTF reserves the right to use any and all means of collection available under applicable law to collect any amount past due. No refunds or credits will be issued.
Scheduling of Training Seat.
Partner acknowledges that IFTF Foresight Essentials training participants shall abide by the registration terms and conditions, which can be referenced at iftf.org/foresightessentials/registration-policies. Trainings must be completed within the Term of this Agreement. Early registration is suggested so as to ensure class availability. Any unused training seat credit will not be reimbursed to the Partner and will be forfeited to IFTF.
No Exclusivity.
IFTF may contract for other consulting services to be performed for other customers while under contract with the Partner provided that doing so will not cause IFTF to violate the terms of this Agreement.
Intellectual Property.
Partner hereby acknowledges that IFTF shall be the exclusive owner of all proprietary rights, including copyright, trademark, patent and trade secrets rights, at all stages of development in all ideas, discoveries, recordings, audio-visual works, listings, materials, products, works, tools, computer programs, algorithms, databases, techniques, articles, reports, documentation and manuals, or enhancements or modifications thereto, of any nature originated, conceived of or developed by IFTF, or any employee or agent of IFTF, at any time relating to the Services and Deliverables. Under this Agreement, IFTF grants non-exclusive rights to program deliverables. Program reports and materials are for the Partner's internal purposes only. The information may be distributed within the Partner's organization and should be treated as proprietary and confidential to its organization and may not be shared outside of Partner without IFTF’s prior written approval. IFTF reserves the right to limit the number of reports distributed within the Partner as well as the number of attendees from the Partner at IFTF events. As a 501(c)(3) mission-driven, public research and educational organization, IFTF strives to publish its materials and research in the public domain.
Termination for Convenience.
IFTF may terminate Partner’s Vantage partnership without cause by giving written notice to Partner at least thirty (30) calendar days prior to the effective date of termination stated in the notice. In the event of such termination by IFTF, any fees and/or payments under this Agreement received by IFTF, minus any actual costs incurred by IFTF, shall be returned in full satisfaction of any and all obligations of IFTF and Partner shall not be entitled to any other relief due to or arising from such termination.
Force Majeure.
IFTF shall not be responsible for, and Partner hereby waives all claims for, any losses, liabilities, damages, expenses, fees, or costs arising from or caused, in whole or in part, by delay or failure of performance due to any of the following: fire or other casualty; labor dispute; government or military action; terrorism; transportation delay; inclement weather; Act of God; epidemics, pandemics or contagious diseases (e.g., the 2020 outbreak of the Coronavirus); act or omission of Partner or its contractors; or any other cause beyond IFTF’s reasonable control (each and collectively referred to as a “Force Majeure Event”). IFTF’s compensation shall be equitably adjusted to compensate IFTF for any additional cost it incurs due to any Force Majeure Event delay.
Default; Notice and Opportunity to Cure.
IFTF shall not be in default of its obligations under or in breach of these Terms unless and until it has (a) received written notice (“Notice”) from the Partner specifying any non-performance and (b) failed to cure or otherwise advise Partner of excuse for such non-performance within twenty-one (21) days of receipt of such Notice. In the event a non-performance cannot reasonably be cured within such a twenty-one-day period, IFTF shall not be in default or breach so long as it has commenced reasonable efforts to cure and thereafter completes such cure within a reasonable period of time.
Governing Law.
This Agreement shall be governed by the internal laws of the State of California (irrespective of its choice of law principles). Any suit to enforce any provision of these Terms or arising out of the subject matter hereof shall be brought in the federal or state courts located in the State of California, to the jurisdiction of which each party hereby submits.
